Hunt Partners in partnership with Global Governance Services Ltd UK and KPMG have designed and launched a first of its kind initiative in India, “Directors’ Club”, a unique accredited certification program directed towards training and familiarizing aspiring Directors in effective execution and running of boards, by engaging the best in class faculty from across the globe. The program provides:
- Familiarization with Global Best Practices in Corporate Governance
- An understanding of the liabilities and duties of a Non-executive/Independent Director
- Knowledge of Board Dynamics and the behavioral skills required to better manage Board Room conflicts
- The competencies NED/Independent Directors require to implement responsible Corporate Governance practices
The Directors’ Club would be a group of privileged individuals who have recently been appointed to a board or are considering taking board positions. It will also include existing Independent Directors as well as Owners/Promoters of businesses who seek to maximize the value of their corporate
The structure of the program has been designed to include topics that directly impact board members and enhance their effectiveness while discharging duties on the Board. The program is designed as a series of intensive sessions spread over three days. To ensure efficacy it is fully residential and all participants will be required to be on site for the complete duration of the program.
Our services are targeted to help organizations develop best practice Board and Management processes and effective strategies, and to design and implement the related infrastructures that will ensure optimum and sustainable performance; delivering the right services, in the right way, to the right customers.
We are also able to work with Directors on an individual basis to help them do their job effectively and to develop to their full potential. Importantly, for the client organization, this work will ensure that the ‘top team’ is not only competent but also that their efforts and aspirations are properly aligned with the strategy and values of the organization.
Importantly, we will always invest time to fully understand the broader context of the client’s business and the environment it will need to operate in before we undertake any assignment.
The Board Effectiveness review would include a review and assessment of composition, relationships among Directors (inside and outside the Board), Director competency, contribution to risk management, compliance with legal and regulatory responsibilities, and corporate values, contribution to strategic development, the Board/Committee Agenda, reporting and Board/Committee procedures. The review would cover the main Board and the Sub Committees and compare the performance against the global best practices, thus providing an opportunity to the board to identify the areas of improvement.
Companies in the midst of restructuring their business for the post-boom era are discovering that they also need to restructure their boards. Companies need engaged and committed boards more than ever before to win in the global market place.
While the market is clamouring for corporate directors, the best candidates are on too many boards, and are trying to pull back. And the others are either retiring or do not have the right competence for the organization’s stage of development. Replacing departing board members is critical and this requires a whole new approach to recruiting board talent. Organizations need progressive board members for it to ride the next wave.
